  • Advised concerning a broad array of finance transactions, including international and domestic credit facilities, term loans, notes, commercial paper transactions, lease financing, receivables sales, project financing, public offerings, unregistered offerings, shelf offerings and preferred stock offerings.

  • Drafted, negotiated, reviewed, counseled and ensured compliance with primary credit facilities for a variety of companies of diverse sizes, including a $1 billion credit facility with a multitude of national and multinational banks.

  • Drafted documents, disclosures and provisions, and researched federal and state law, for a myriad of consumer finance transactions, including open-end and closed-end, secured and unsecured, secured by uniform commercial code collateral, real property and nearly every other conceivable type of collateral.

  • Drafted documents and provisions, and researched federal and state law, for a multitude of commercial finance transactions, including open-end and closed-end, secured and unsecured, participations, secured by uniform commercial code collateral, agricultural, real property and nearly every other feasible type of collateral.
  • Negotiated credit, security and contribution agreements, and performed due diligence for, $17 million secured term loan facility to finance the expansion of a fractionator plant.
  • Negotiated unsecured $150 million term loan between company and various banks with team that included corporate finance, treasury, accounting, tax departments and other counsel.
  • Reviewed and advised regarding, and negotiated, complex amended and restated credit agreement with no additional legal support, thus saving the company approximately $50,000 in aggregate legal costs.
  • Drafted and negotiated lease financing agreements, legal opinions and related documents.
  • Reviewed and advised concerning agreement for bankers’ acceptance financing, which would allow company to borrow in the capital market at attractive rates, from large international bank.
  • Reviewed documentation for numerous commercial paper transactions and eurocommecial paper transactions.
  • Contributed to teams on project financings in various countries, including, Italy, Puerto Rico, Turkey, Colombia and the Philippines.
  • Collaborated with treasury and tax departments and, to a limited extent, other counsel to negotiate master agreements and confirmations for derivatives transactions (including interest rate swaps such as hedges for debt issued in securities offering, foreign exchange transactions and equity options), collateralized and uncollateralized, with numerous large financial institutions in notional amounts exceeding $100 million per agreement.
  • Reviewed, advised with respect to, and negotiated guaranties of every variety, from minor operational guaranties to guaranties for multi-million dollar financing transactions, both domestic and international.
  • Reviewed agreements for issuance of bonds to support financing of numerous domestic and international projects.
  • Reviewed a multitude of letters of credit with major financial institutions, and agreements under which letters of credit were issued, including master letter of credit agreements.
  • Reviewed and advised concerning comfort letters under which parent company provided comfort, but not commitment, concerning financial support of subsidiaries’ obligations.
  • Assisted with negotiation of $600 million receivables sale agreement.
  • Drafted agreement for financial software license to be granted to banks.
